The FCA’s Digital Securities Sandbox provided a controlled environment to test tokenised issuance, trading and platform arrangements. The Permanent Operating Regime (POP) is the next stage that intends to translate lessons from the sandbox into durable rules and expectations for firms operating digital securities platforms. A consistent theme from industry and regulator discussion is the need for clearer, standardised disclosures about how secondary trading works, what platform obligations are, and how investors can check provenance and rights attached to digital holdings.
For retail investors, secondary‑market transparency covers several practical areas: clear trading rules and price discovery mechanisms; accessible transaction histories and audit trails; disclosure of fees, settlement mechanics and any limits on transfers; and the identity and regulatory status of market operators. POP is widely expected to emphasise these disclosure and governance elements so that retail investors can compare platforms and offers on a like‑for‑like basis rather than on bespoke, opaque terms.
That said, transparency alone does not create liquidity. POP discussions have highlighted the importance of market structure — for example, whether platforms support continuous order books, batch auctions or bilateral matching — and how those choices affect visible prices and trade execution for small lots. Retail investors should therefore expect future disclosures under POP to include not only issuer documents but also platform‑level information about matching, fees, and historical turnover rates.
Relating this back to fractional digital share investing, improved regulatory clarity on secondary‑market transparency matters because it helps everyday savers understand where liquidity exists, how price information is generated, and what protections apply when they buy or sell fractional interests in property or renewable projects. Clearer, standardised disclosure makes comparison and informed decision‑making easier for non‑professional investors.
