What the FCA’s Permanent Operating Regime Means for Fund Issuers and Retail Investors

The Permanent Operating Regime (POP) is intended to move tokenised and digital securities activity from time‑limited trials into an enduring regulatory framework. For fund issuers the regime aims to clarify how existing FCA rules on prospectuses, financial promotions, custody and client money apply to digital representations of fund ownership, while creating a proportionate pathway for market infrastructure, custody providers and transfer mechanisms to be recognised. That clarity is important because it reduces legal ambiguity around issuance, secondary trading and statutory disclosure obligations.

For retail investors the POP is expected to emphasise transparency, suitability of offers and clear financial promotions. Firms will need to show how they protect client assets, how ownership and transferability are recorded, and how investor rights (dividend/interest, voting, redemption) are maintained in practice. The POP also looks to align with existing consumer protections — for example the FCA’s rules on client money, complaints handling and disclosures — so that tokenised instruments are not treated as a regulatory blind spot.

Operationally, fund managers and platforms should expect higher expectations for governance, auditability and resilience. That includes firmwide systems for record keeping, reconciliations between token records and legal registers, and contingency arrangements for service provider failure. The regime should also make clear when a digital offering crosses into regulated activity requiring authorisation.

For retail investors interested in fractional digital fund shares, the POP should gradually raise the baseline for disclosure, custody and operational resilience — improving comparability with conventional fund offers. That does not replace the need to read disclosures and understand fund structure, but it does aim to make the perimeter and protections clearer over time.
