Whether a tokenised instrument is a regulated financial instrument in the UK depends on the legal rights attached to it. Shares in an SPV, debt claims, and certain unitised fund interests are commonly treated as specified investments under FSMA when they confer economic rights. Separately, activities such as accepting client money, arranging investments, operating trading venues or providing regulated advice create conduct‑of‑business obligations and may require FCA authorisation.

The regulatory perimeter is not static: firms offering fractional ownership combine custody, secondary trading, issuer services and distribution. Each function can map to different regulated activities. Platforms that simply provide access to ownership may still trigger regulation if, for example, they handle client funds or operate a multilateral trading facility. In addition, public policy actors including the Bank of England take an interest where new arrangements raise financial stability, payment or settlement risks.

For retail investors, the practical implication is to check which regulated activities a platform performs and what permissions it holds. An authorised firm must meet conduct requirements, including client categorisation, disclosures and capital standards where applicable. That regulatory mapping is a key part of assessing platforms that offer fractional digital shares in property and renewable infrastructure, since the perimeter determines the baseline protections investors receive.
