Segregation of Duties: Administrators, Registrars and Custodians in Fractional Fund Operations

A typical investment fund ecosystem separates responsibilities: the fund manager sets strategy and makes investment decisions; an independent fund administrator calculates NAV, handles subscription/redemption processing and produces investor statements; a registrar or transfer agent maintains the shareholder register; and a custodian safeguards cash and, where applicable, financial assets. For alternative or illiquid real assets, a depositary (for regulated fund types) or independent trustee discharges oversight duties. This segregation supports checks and balances — administration and custody functions provide independent verification of asset ownership and cash movements.

For fractional platforms the same principles apply, though technology changes how registers are kept. Digital registries or distributed ledger systems can improve reconciliation speed and transparency, but the legal enforceability of register entries, the identity controls, and the actual custody of underlying titles or cash must be explicit. Where a platform also provides secondary trading, an independent registrar and clear trade settlement processes reduce operational risk.

Retail investors should look for published descriptions of service providers, external audits, and whether NAVs rely on independent valuation and administration. Robust contractual segregation and the use of regulated custodians or trustees materially affect the strength of investor protections when exposure is fractionalised across many savers.
