Real Estate Investment Trusts (REITs) in the UK provide a tax‑efficient vehicle for holding rental property by imposing qualifying conditions and predictable distribution obligations on the entity. A REIT must meet corporate and operational tests so that rental income can pass through under favourable tax treatment; as part of that regime, the REIT model places requirements on shareholder composition, reporting and how income is distributed to holders.

When fund sponsors and platforms consider tokenising a REIT’s shares, legal form and shareholder rights must remain consistent with those qualifying conditions. Tokenisation can represent the same economic and governance rights as traditional shares, but the mechanics of electronic transfer and custody must not undermine the REIT’s ability to demonstrate who its shareholders are for tax and regulatory purposes. Any new share class or transfer mechanism needs to preserve distribution entitlements and company law obligations.

Tokenised fractional ownership can widen access to a REIT’s underlying economics, but issuers and administrators must also ensure compliance with disclosure, corporate reporting and shareholder voting processes. Market infrastructure — registries, corporate action processing and tax reporting — must be adapted so tokenised holders receive the same statutory protections and information as conventional shareholders.

For retail investors, understanding whether a fractional interest sits within a recognised wrapper such as a REIT matters for legal rights, distributions and the administrative framework that supports taxation and reporting. Clear documentation about how tokenised shares map to existing corporate and tax rules helps household savers assess the structural features of a fractional property investment.
