Tokenisation creates digital representations of ownership rights, but those tokens do not exist in a legal vacuum. In the UK context, the legal rights of investors are established through entities such as SPVs, nominee share arrangements or unit trusts that are governed by conventional company, trust and securities law. Smart contracts can automate certain processes — dividends distributions, pro rata allocations or transfer controls — but they typically operate as operational mechanisms underpinned by legal documentation that defines the investor’s enforceable claim.

Practical frictions include the identity of the legal holder on corporate registers versus the on‑chain token holder; nominee or custodian arrangements are commonly used to connect the two. Corporate actions (voting, capital reorganisations, insolvency events) are resolved within the legal framework, which means that smart contract logic must align with these off‑chain processes. Discrepancies can create enforcement uncertainty unless the offering documents explicitly map on‑chain events to legal remedies and records.

Governance design must also address jurisdiction, dispute resolution, anti‑money laundering, data protection and record retention. Platforms and fund managers should disclose whether tokens are certificated securities, rights under a contract for shares, or a beneficial interest in a fund; clarity here affects transferability, tax treatment and investor rights if the issuer or platform fails.
