For certain regulated fund types and collective investment schemes, independent directors or a trustee are statutory safeguards intended to protect investors from conflicts of interest, mismanagement or misappropriation of assets.

The exact scope of duties depends on the vehicle type and regulatory regime. In authorised funds and AIFs, depositaries have specific fiduciary duties and must report breaches. For newer structures used in tokenisation or fractional offerings, comparable arrangements are the market norm: segregation of investor assets, independent valuation oversight, and robust record‑keeping. The presence of an independent overseer does not remove operational risk, but it raises the standard of control: regular reporting, reconciliations and independent checks reduce the risk of errors or misuse.
