From Sandbox Trials to Full Authorisation: What Digital Securities Firms Must Demonstrate

The FCA’s sandbox environment is designed to let firms test novel propositions, including digital securities and fractional ownership models, within a supervised and time-limited setting. During trials the FCA focuses on specific risks and mitigations: how client money and assets are safeguarded, how investor disclosures work in practice, whether governance arrangements prevent conflicts of interest, and whether operational resilience and cyber security meet minimum standards. These observations are used to inform whether similar activities can operate safely at scale.

Full authorisation to operate as a regulated fund manager, broker or platform requires firms to move from test controls to enduring systems and processes. That includes documented policies for financial crime prevention, data protection and complaints handling; robust IT and incident response plans; clear reporting lines and board-level oversight; and evidence of prudent governance such as independent oversight or a depositary where required by the regime. Firms must also demonstrate conduct-of-business compliance across all retail-facing materials and sales channels, not just in a pilot environment.

For fund issuers, the practical implication is that pilot performance and controls do not substitute for the regulated perimeter’s ongoing obligations. For retail investors, the difference matters because authorisation brings a predictable legal and supervisory framework: ongoing supervisory engagement, on‑site inspections, and published rules about disclosures and conduct. Investors should therefore look for clear information about a firm’s regulatory status, the scope of permissions it holds, and how sandbox learnings have been embedded into permanent controls.

In the context of fractional digital share investing, these distinctions matter for platform reliability, disclosure continuity and escalation routes if something goes wrong. Consumers benefit when trial learnings translate into stable, supervised arrangements rather than ephemeral, test‑only practices.
